BioLineRx Secures $3.75 Million in Registered Direct Offering
Tel Aviv-based biopharmaceutical firm BioLineRx has entered into a definitive agreement to raise $3.75 million through a registered direct offering and concurrent private placement. The company plans to issue over 1.3 million American Depositary Shares at $2.78 each to bolster its research, development, and general working capital.
The offering, expected to close around August 31, 2026, includes warrants to purchase an additional 2.02 million ADSs at the same $2.78 price point. These warrants are exercisable for five years. Chardan is serving as the exclusive placement agent for the transaction, which involves both registered shares and private placement securities issued under Section 4(a)(2) of the Securities Act of 1933.
Alongside the new offering, BioLineRx amended existing warrants held by the investor to match the $2.78 exercise price and extended their expiration date to August 31, 2031. The company, which focuses on oncology and rare disease therapies, intends to funnel the net proceeds toward its ongoing clinical pipeline. This includes the development of GLIX1, a small molecule candidate currently in Phase 1/2a trials for solid tumors, and continued operations for its stem cell mobilization drug, APHEXDA.
