Stockholm-based investment firm EQT AB has agreed to acquire San Francisco’s Stockbridge, a move designed to diversify its real estate holdings and bolster its presence in the U.S. market. The acquisition marks a strategic pivot for EQT Real Estate, which seeks to blend its own industrial expertise with Stockbridge’s established footprint in open-ended core funds and alternative sectors such as manufactured housing and industrial outdoor storage. By integrating Stockbridge’s 185-person team, EQT aims to scale its operations globally, leveraging its proprietary data and AI tools to enhance asset underwriting and management.

Under the terms of the agreement, Stockbridge will transition into a dedicated business unit within EQT Real Estate. Stockbridge CEO Terry Fancher is set to become Vice Chair of the combined real estate division, reporting to Henry Steinberg, the Global Head of EQT Real Estate. The transaction is expected to close in the first quarter of 2027, with additional earnout payments of up to $175 million tied to future performance targets through 2030. To align interests, Stockbridge’s senior management has committed to reinvesting half of their proceeds into EQT AB shares, subject to long-term lock-up arrangements.
