Investors Face Deadline in GPGI Securities Fraud Class Action

Shareholders who purchased GPGI, Inc. Class A common stock between November 3, 2025, and May 6, 2026, have until September 14, 2026, to seek lead plaintiff status in a pending securities fraud lawsuit filed in the United States District Court for the Southern District of New York.

The litigation, titled City of Warren Police and Fire Retirement System v. GPGI, Inc., alleges that the company misled investors regarding the financial health and valuation of Husky Technologies Limited, an acquisition that preceded the firm's rebranding from CompoSecure. According to the complaint, GPGI misrepresented Husky’s revenue potential and EBITDA targets, suggesting that the acquisition was structured primarily to generate fees for Resolute Holdings rather than to provide long-term value to shareholders.

Market scrutiny intensified following a February 2026 report by Jehosaphat Research, which claimed that Husky’s valuation had been significantly inflated to secure shareholder approval. Subsequent financial disclosures from GPGI confirmed declining performance metrics for the subsidiary, triggering sharp sell-offs in the company’s stock. Shares fell by approximately 16.4% in March 2026 following poor quarterly results, and plummeted another 25.9% in May 2026 after the company slashed its annual guidance, citing volatility in oil and resin prices alongside shipment delays.

Investors currently represented by the law firm Kessler Topaz Meltzer & Check, LLP are reviewing recovery options. While the deadline to file for lead plaintiff is September 14, 2026, affected parties may also choose to remain absent class members. The court-appointed lead plaintiff will act on behalf of the class to direct the litigation, though the ability to participate in any potential settlement does not depend on serving in that leadership role.
